1. Contest Name and Sponsor
The name of this contest is the #bindislife Contest. The sponsor is Bold Penguin Company, LLC, located at 6555 Longshore Street, Suite 200, Dublin, OH 43017.
2. Contest Period
The #bindislife Contest begins on October 1, 2025, at 12:01 a.m. Eastern Time (ET) and ends on December 19, 2025, at 11:59 p.m. ET (the "Contest Period").
3. Eligibility
Participation in the #bindislife Contest is open only to individuals who are:
- Licensed insurance agents in good standing.
- Authorized users of the Bold Penguin Terminal.
- The individual's Bold Penguin Terminal subscription must be in good standing throughout the Contest Period.
- Single Access Terminal customers are not eligible to participate.
The #bindislife Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.
4. How to Participate:
- Qualifying Binds: New policy binds must be made either through a Bold Penguin Market Access appointment or the Bold Penguin Placement Desk. To be considered a qualifying bind, the policy must remain in force and not be subject to a "flat" cancellation. Bold Penguin reserves the right, in its sole discretion, to disqualify any bound policy that is cancelled within thirty (30) days of its effective date."
- Package/Bundled Policies: If a single policy transaction includes multiple lines of business (e.g., a package or bundled policy), each individual line of business will be counted separately toward the participant's total.
- Exclusions: Policy renewals are not counted as new binds and do not apply toward a participant's total.
5. Winner Selection and Prizes
Winners will be the three (3) participants with the top three highest number of qualifying binds made during the Contest Period. This is a contest of skill determined by the number of qualifying policy binds. In the case of a tie, the award will be split equally among the tied participants.
The top three participants will receive the following prizes:
- First Place: A cash payment of $15,000.
- Second Place: A cash payment of $10,000.
- Third Place: A cash payment of $5,000.
6. Winner Notification and Prize Delivery
Winners will be announced in early February 2026, to allow for commission delays and processing time. Winners will be notified via the email address or phone number associated with their Bold Penguin account. The cash payment prizes will be paid electronically via ACH deposit. Winners must provide the necessary information for an ACH transfer to Bold Penguin within 30 days of being notified as a winner. If a potential winner cannot be contacted or fails to provide the required information within 30 days, the prize may be forfeited.

7. Taxes
Winners are solely responsible for all federal, state, and local taxes associated with their prize. Bold Penguin will issue appropriate tax forms (e.g., Form 1099) to the winners as required by law. Winners may be required to provide their social security number or tax identification number for tax reporting purposes.
8. Intellectual Property and Use of Data
- Intellectual Property Rights: All Bold Penguin intellectual property (e.g., logos, technology, trademarks) remains Bold Penguin property and you have no rights to it outside of any rights expressly granted for the Promotion.
- Agent's Representations: By participating in this Promotion, you represent and warrant that you are properly licensed, authorized to conduct business, and that your participation in the Promotion will not violate any law, regulation, or contract.
- Data Collection and Privacy: Your participation in this Promotion may involve the collection and use of personal data (e.g., name, contact information, bound policy data). By participating, your consent to the data practices in our Privacy Policy.
9. Release of Liability and Publicity
By participating in the #bindislife Contest, you agree to the following:
- You expressly permit Bold Penguin to use your name, likeness, and other information for promotional purposes without further compensation, unless prohibited by law.
- You agree to release Bold Penguin Company, LLC, and its parent company (Bold Penguin, Inc.) and their officers, directors, employees, and agents from any and all liability, claims, or actions of any kind whatsoever for injuries, damages, or losses to persons or property that may be sustained in connection with your participation in the #bindislife Contest or the acceptance, use, or misuse of any prize.
- Limitation of Liability: Bold Penguin will not be responsible for any indirect, special damages, or consequential damages, and our total financial responsibility to you is limited to direct damages that arise directly from the #bindislife Contest.
10. GENERAL CONDITIONS:
- Right to Modify or Terminate: Bold Penguin reserves the right to modify, suspend, or terminate the #bindislife Contest without notice at any time and for any reason.
- No Partnership or Employment Relationship: Your participation in the #bindislife Contest does not create an employment, partnership, joint venture, or agency relationship between you and Bold Penguin.
- Severability: If any part of these Contest Rules is found to be unenforceable, the remaining provisions will still be valid and in effect.
- Entire Agreement: These Contest Rules represent the complete and final agreement between you and Bold Penguin regarding the #bindislife Contest, superseding all prior communications or understandings. Notwithstanding the foregoing, your use of Terminal and the Placement Desk remain subject to the terms of service you executed separately with Bold Penguin specifically relative to those services.
- Sponsor Decisions: All decisions by Bold Penguin regarding participant eligibility and the interpretation of these terms and conditions are final and binding in all respects.
11. Governing Law and Jurisdiction
The #bindislife Contest is governed by and shall be construed in accordance with the laws of the State of Ohio, in all respects, without regard to choice or conflicts of law rules, and all disputes arising out of or relating to the #bindislife Contest are limited to the exclusive jurisdiction and venue of the state and federal courts located in Franklin County, Ohio.
